ELIGIBILITY & WHOLESALE INVESTOR

A wholesale investor is someone who meets specific financial criteria under the Corporations Act, allowing them to access investment opportunities that are not available to retail investors.

The key difference is access.

Retail investors are typically limited to highly regulated, broadly available investment products. Wholesale investors can access a wider range of opportunities, including private investments, alternative assets, and institutional-grade strategies that are not offered to the general public.

To qualify as a wholesale investor under Section 708 of the Corporations Act, you must meet at least one of the following:

  • Net assets of $2.5 million or more, or
  • Gross income of at least $250,000 per year for the past two financial years

These thresholds must be certified by a qualified accountant

A 708 certificate (also known as a Wholesale Investor Certificate) is a document provided by a qualified accountant confirming that you meet the financial thresholds required to be classified as a wholesale investor.

This certificate allows you to legally access wholesale investment opportunities that are not available to retail investors

To obtain a wholesale investor certificate:

1. You engage a qualified accountant (e.g. CPA or Chartered Accountant)
2. They assess your financial position, including income and/or net assets
3. If you meet the criteria, they issue a signed certificate confirming your eligibility

The accountant must be independent and meet professional requirements under the Corporations Act.

Yes, there are alternative pathways depending on your situation:

  • Sophisticated / Experienced Investor (via AFSL holder):
A licensed financial services provider may classify you as an experienced investor if they are satisfied you have sufficient knowledge and experience to assess investment opportunities.
  • Professional Investor:
Includes entities such as AFSL holders, large institutions, or those controlling significant financial assets.
  • Minimum Investment Threshold:
In some cases, investing $500,000 or more into a single opportunity may qualify you as a wholesale investor (subject to structure and advice).
  • Investing via a Company or Trust:
If structured correctly, entities may qualify based on their financial position.

(Important: Each pathway depends on legal structure and advice, so this is typically reviewed on a case-by-case basis.)

Yes.

When determining eligibility, you may include the assets or income of companies or trusts that you control, provided they meet the definition of “control” under the Corporations Act

This is often relevant for athletes who have structured their finances through entities.

A wholesale investor certificate is generally valid for up to 2 years from the date it is issued.

After this period, a new certificate is required to confirm that you still meet the eligibility criteria.

If you don’t currently meet the wholesale investor criteria, you won’t be able to participate in the fund at this stage.

However, many athletes are on the pathway toward eligibility.

You can still:

  • – Build your financial knowledge through our education and mentoring
  • – Understand how investment structures work
  • – Position yourself to qualify in the future
  •

We’re happy to revisit your eligibility as your financial position evolves.

THE FUND & INVESTMENT APPROACH

The portfolio is diversified across multiple asset classes, including:

  • – Australian listed equities
  • – International listed equities
  • – Property (direct or REITs)
  • – Cash and fixed income investments
  • – Private and alternative investments (e.g. credit funds, commodities, off-market opportunities)

This diversified approach is designed to manage risk while providing long-term growth opportunities

Your investment is allocated into a diversified wholesale fund.

The structure and allocation across asset classes are determined by the Investment Committee, who manage the overall strategy and ensure alignment with long-term objectives.

All investment decisions are made by the Investment Committee.

This includes:

  • – Asset allocation
  • – Selection of underlying investments
  • – Ongoing portfolio management

The approach focuses on selecting high-quality opportunities across each asset class.

No.

Your investment is allocated according to the structure of the core fund, which is designed to deliver a balanced and diversified portfolio.

However, as part of the Athlete’s Journey ecosystem, you may be provided with access to additional aligned investment opportunities over time, where there may be greater flexibility in allocation.

The key differences are:

  • Access: Exposure to wholesale and alternative investment opportunities not typically available to retail investors
  • Structure: A diversified fund model rather than fragmented, individual investments
  • Strategy: Long-term, athlete-specific approach aligned with career timelines and post-career planning
  • Ecosystem: Access to a community, education, and ongoing opportunities to build knowledge and expand your investment portfolio

This is designed not just to manage money, but to help athletes build long-term financial capability and opportunity.
